
KBRA Assigns Ratings to VBT Financial Corporation and Vantage Bank Texas
Kroll Bond Rating Agency, LLC (KBRA) has assigned a series of credit ratings to San Antonio, Texas-based VBT Financial Corporation, Inc. and its principal banking subsidiary, Vantage Bank Texas. The ratings reflect KBRA’s assessment of Vantage’s commercial banking franchise, operating performance, financial profile, funding and liquidity position, as well as the opportunities and risks associated with the bank’s technology-focused growth strategy.
For VBT Financial Corporation, KBRA assigned a BBB senior unsecured debt rating, a BBB- subordinated debt rating and a K3 short-term debt rating. For Vantage Bank Texas, the agency assigned BBB+ deposit and senior unsecured debt ratings, a BBB subordinated debt rating, and K2 short-term deposit and debt ratings.
The ratings assessment points to a financial institution with a strong commercial banking franchise and a track record of solid earnings, asset quality, funding and liquidity. At the same time, KBRA noted that the bank’s rapid organic expansion has resulted in relatively modest capital ratios and elevated concentrations in certain commercial real estate and construction and development lending categories.
Strong Commercial Banking Franchise Supports Ratings
A key factor supporting the ratings is the operating performance of Vantage Bank Texas, whose core commercial banking franchise has demonstrated favorable financial characteristics in recent years.
The bank has experienced stronger organic growth than many of its peers while maintaining solid earnings and funding characteristics. Its presence across attractive Texas markets also provides a significant component of its competitive positioning.
Texas has experienced substantial activity involving regional banks, including mergers and acquisitions that have contributed to disruption among customers and banking professionals. KBRA believes this environment has created opportunities for Vantage to attract experienced commercial bankers and establish relationships with customers seeking alternative banking partners.

VBT has delivered strong earnings performance over the past several years.
The company’s reported return on assets, or ROA, has generally remained between approximately 1.5% and 1.6% on an S-Corporation basis. Because the tax treatment associated with an S-Corporation structure can make direct comparisons with other banks more difficult, KBRA adjusted the results for corporate income taxes.
Following that adjustment, VBT’s ROA has remained solid at approximately 1.2% to 1.3%.
Net interest margin, or NIM, has been a primary driver of the company’s profitability. Vantage benefits from a relatively high proportion of loans within its earning assets, while its commercial banking focus has resulted in a loan portfolio that generally carries higher yields.
Commercial and industrial, or C&I, lending and construction and development, or C&D, lending are important components of the bank’s loan portfolio.
The combination of loan mix and pricing has helped support the bank’s net interest income and overall profitability.
More recently, improved funding costs have also contributed to earnings performance. During the first half of 2026, Vantage’s total cost of deposits declined to approximately 2.0%.
The improvement reflects stronger growth in lower-cost core deposits, which has helped reduce the overall cost of funding.
Funding and Liquidity Remain Well Positioned
Vantage’s liquidity position is another factor supporting the ratings.
At the end of the second quarter of 2026, the bank’s loan-to-deposit ratio stood at approximately 89%. This indicates that deposits continue to provide a substantial funding source for the loan portfolio.
Vantage also maintained significant on-balance-sheet liquidity. Cash represented approximately 14% of total assets at the end of the second quarter.
The combination of a relatively balanced loan-to-deposit position and substantial cash holdings provides the bank with flexibility to manage funding requirements and changing market conditions.
KBRA expects the bank’s core commercial banking franchise to maintain relatively sound earnings, funding and liquidity characteristics going forward.
The agency also believes that Vantage’s longer-term “Novel Banking” strategy could provide additional benefits through greater fee income, diversification of deposits and additional sources of liquidity.
Technology-Centered Novel Banking Strategy
One of the more distinctive elements of Vantage’s business model is its forward-looking “Novel Banking” strategy.
The strategy includes two important initiatives: the Hazel Network and Vantage Collabs.
The Hazel Network is a bank-led platform designed to facilitate tokenized deposits and blockchain-based payments between participating financial institutions.
Vantage Collabs, meanwhile, is an embedded finance and banking-as-a-service platform focused primarily on providing banking and payment infrastructure to business-oriented partners.

If Vantage successfully implements these initiatives while managing the associated risks, the capabilities could become a longer-term competitive differentiator.
They could also diversify the bank’s sources of revenue and funding by generating additional fee income and potentially expanding its deposit base.
Capital Ratios Require Continued Monitoring
Despite the strengths of the franchise, KBRA identified capital as an area requiring continued attention.
Vantage’s rapid growth has resulted in relatively modest capital ratios. At the consolidated level, VBT reported a CET1 ratio of approximately 9.4% at the end of the second quarter of 2026.
The level reflects the impact of strong organic growth and the capital required to support expansion.
KBRA expects earnings retention and a more measured growth trajectory to support improvement in the CET1 ratio over the next two years.
The agency expects the ratio to reach above 10% during that period.
A stronger capital position would provide additional capacity to support continued growth while providing a larger buffer against potential deterioration in credit conditions.
The expected moderation in growth is also important because it could allow retained earnings to contribute more meaningfully to capital accumulation.
Commercial Real Estate and Construction Concentrations
Vantage also has elevated concentrations in certain areas of commercial lending.
At the bank level at the end of the second quarter of 2026, investor commercial real estate exposure represented approximately 339% of Tier 1 capital and allowance for credit losses, while construction and development exposure represented approximately 110%.
These concentrations are significant and require ongoing monitoring because commercial real estate and construction lending can be sensitive to changes in property values, interest rates, economic activity and borrower conditions.
KBRA expects these concentrations to moderate over time as Vantage places greater emphasis on C&I lending and builds its capital base.
A gradual shift toward C&I lending could diversify the loan portfolio while allowing the bank to continue leveraging its commercial banking expertise.
Asset Quality Shows Some Deterioration
Vantage’s asset quality has weakened from historically strong levels.
At the end of the second quarter of 2026, the nonperforming assets ratio was approaching 0.9%. During the first half of 2026, the net charge-off ratio was approximately 0.3%.
While these figures represent some deterioration, KBRA noted that recent credit weakness has been driven primarily by several idiosyncratic exposures rather than a broad-based deterioration across the entire portfolio.
Some of the identified problem credits included fraud-related C&I exposures.
The distinction is relevant to the overall ratings assessment because isolated credit events can have a different impact on a bank’s risk profile than widespread deterioration across multiple loan categories.
KBRA will continue to monitor asset quality as Vantage grows its loan portfolio and manages its concentrations.
The Stable Outlook assigned to VBT’s long-term ratings reflects KBRA’s overall assessment of the company’s financial profile and operating prospects.
Vantage’s strong commercial banking franchise, favorable earnings performance, solid funding and liquidity position and established presence in Texas markets provide important support for the ratings.
At the same time, the ratings incorporate consideration of the bank’s modest capital ratios, elevated CRE and C&D concentrations and recent asset-quality deterioration.
The expectation that capital ratios will improve as growth becomes more measured is an important part of the outlook. KBRA also expects the bank’s core earnings, funding and liquidity characteristics to remain relatively sound.
The progress of Vantage’s Novel Banking initiatives will also remain an important area to monitor as the bank develops its Hazel Network and Vantage Collabs platforms.
