Merchants & Marine Bancorp Introduces TownBridge Bank as New Name for Banking Subsidiary
Merchants & Marine Bancorp, Inc. (OTCQX: MNMB) has announced that its wholly owned bank subsidiary, Merchants & Marine Bank, will adopt the legal name TownBridge Bank effective September 28, 2026.
The name change represents an important step in the company’s ongoing development as it expands its Family of Brands across multiple markets and states. The transition is intended to establish a common identity for the company’s banking charter while allowing its individual community banking brands to maintain the local names, leadership teams, customer relationships and community presence they have established over the years.
The company emphasized that the change does not involve a sale, merger, acquisition or change in ownership or leadership. Merchants & Marine Bancorp will continue to own TownBridge Bank, while the existing leadership and governance structure will remain in place.
Beginning September 28, the company’s community banking operations will include Merchants & Marine Bank, a division of TownBridge Bank; Mississippi River Bank, a division of TownBridge Bank; and Farmers-Merchants Bank, a division of TownBridge Bank.
The company’s ancillary financial services brands will also operate under the new bank charter identity. These businesses include Canvas Mortgage, a division of TownBridge Bank; CannaFirst Financial, a division of TownBridge Bank; and Voyager Lending, a division of TownBridge Bank.
Establishing a Shared Banking Identity
The introduction of TownBridge Bank is designed to provide a common legal and regulatory identity across the company’s growing portfolio of financial brands.
Historically, Merchants & Marine Bank has performed two functions within the organization. It has operated as a community banking brand serving customers in Mississippi and Alabama while also serving as the legal bank charter supporting the company’s other banking brands.
As Merchants & Marine Bancorp has expanded its Family of Brands into additional markets and states, the company determined that a neutral shared charter identity would provide a clearer structure for its various businesses.
Under the new structure, individual community banking brands will continue to operate under their established names while becoming divisions of TownBridge Bank.
This allows each brand to maintain its local identity while benefiting from the infrastructure, resources and capabilities of a broader banking organization.
The approach is intended to balance the benefits of scale with the local characteristics traditionally associated with community banking.
Local Brands Remain in Place
Customers will continue to interact with the same community banking brands they know.
Merchants & Marine Bank, Mississippi River Bank and Farmers-Merchants Bank will retain their respective names as customer-facing brands.
The company said customers can continue to expect the same locations, bankers and local leadership teams following the transition.
The TownBridge Bank name will gradually appear in legal and regulatory references beginning after the September 28 effective date. The company expects customers to see the new name phased into relevant documentation and references over the days and weeks following the change.
However, the transition is not expected to alter customers’ day-to-day banking relationships.
The company has specifically stated that customers do not need to take action as a result of the name change.
No Change in Ownership or Leadership
The company emphasized that the TownBridge Bank name does not represent a change in ownership structure.
Merchants & Marine Bancorp will remain the parent company of the bank, and the existing bank charter’s Board of Directors will continue to provide governance.
The Corporate Executive Leadership Team will also remain in place.
Clayton Legear, Chairman and Chief Executive Officer of Merchants & Marine Bancorp and TownBridge Bank, said the new identity represents an important step in the company’s evolution while emphasizing that its approach to serving communities will remain unchanged.
According to Legear, the company’s focus remains on hometowns, small towns and Main Streets, with an emphasis on local bankers who understand the individuals, businesses and communities they serve.
The new identity is intended to provide the company’s growing collection of brands with a common foundation while preserving the community-oriented model that has shaped the organization.
TownBridge Name Reflects Community Banking Philosophy
The TownBridge name was selected to reflect the company’s longstanding community banking philosophy.
The word “Town” represents the hometowns and communities served by the company’s banking brands. It also reflects the philosophy associated with Merchants & Marine Bank’s longstanding identity as “Hometown People That You Know.”
The word “Bridge” represents the relationships community bankers establish between families, businesses, capital, opportunities and the communities in which they operate.
Together, the name is intended to communicate the company’s emphasis on connecting financial resources with local economic and community needs.
The naming approach also reflects the company’s objective of maintaining the characteristics of community banking as it grows.
Combining Scale with Local Decision-Making
Merchants & Marine Bancorp’s strategy is based on combining the resources of a larger financial organization with the local decision-making and relationships traditionally associated with community banks.
The company believes that community banking can retain its local character while benefiting from the technology, capital, expertise and operational resources available through a larger organization.
Legear described the company’s objective as building a community banking organization that combines organizational strength and expertise with local leadership and decision-making.
Under this model, TownBridge Bank will provide the shared charter structure, while the individual brands will continue to maintain their connections with local markets.
This structure allows the company to pursue growth while keeping customer-facing community banking brands closely connected to the markets they serve.
Supporting the Family of Brands
The TownBridge identity is closely connected to Merchants & Marine Bancorp’s Family of Brands strategy.
The company has expanded beyond its original community banking structure to include multiple banking and financial services brands.
These brands address different customer needs and markets, while operating within the broader organization.
The TownBridge structure creates a common banking identity under which these businesses can operate.
The model also allows the individual brands to preserve the market recognition they have developed locally.
For existing customers, the distinction means that the customer-facing brand can remain familiar even as the legal bank entity becomes TownBridge Bank.
Community Banking Remains Central to Strategy
Despite the introduction of a new legal bank name, Merchants & Marine Bancorp continues to emphasize the importance of community banking.
The company has highlighted the role of local bankers who understand the financial needs of individuals, families and businesses within their communities.
Local decision-making can be particularly important for community banks because customer relationships often extend beyond individual transactions.
Small businesses, local entrepreneurs and families may have financial requirements that depend on knowledge of their circumstances and local economic conditions.
The company intends for its new structure to preserve this relationship-driven model while providing the broader organization with a platform for future growth.
Customer Accounts and Banking Access Remain Unchanged
One of the most important aspects of the transition for customers is that the name change will not require them to modify their existing banking arrangements.
According to Merchants & Marine Bancorp, account numbers and routing numbers will not change as a result of the TownBridge Bank name change.
Customers can continue using their existing checks and cards.
Digital banking access will also remain available through existing channels, and customers can continue using the websites associated with their respective brands.
The company has therefore structured the transition to minimize disruption to everyday banking activities.
Customers will continue interacting with their established banking teams and locations while the TownBridge Bank name becomes incorporated into legal and regulatory references.
Preparing for Future Expansion
The TownBridge identity is intended to provide the company with a foundation for continued expansion.
As Merchants & Marine Bancorp develops its Family of Brands across multiple states and markets, a shared bank charter identity can provide a consistent organizational structure.
The company expects this approach to support the development of existing brands while providing flexibility for potential future growth.
The neutral nature of the TownBridge name also allows the organization’s individual community banking brands to retain their local identities without requiring all brands to adopt a single customer-facing name.
This structure is designed to support the company’s objective of entering new communities while maintaining the local character of its existing operations.
Corporate Identity May Also Evolve
The bank subsidiary’s name change is scheduled to take effect on September 28, 2026, while the parent company is considering a future change to its own corporate identity.
As a next step, Merchants & Marine Bancorp intends to seek shareholder approval at its 2027 Annual Meeting of Shareholders to align the parent company’s name with the TownBridge identity.
Any such change would remain subject to applicable requirements and shareholder approval.
Until that process is completed, Merchants & Marine Bancorp will continue operating as the parent company of TownBridge Bank.
Building a Unified Foundation for Community Banking
The introduction of TownBridge Bank represents a structural and branding development for Merchants & Marine Bancorp as the company continues expanding its Family of Brands.
The new legal name creates a shared bank charter identity while allowing Merchants & Marine Bank, Mississippi River Bank and Farmers-Merchants Bank to retain their established local identities.
Similarly, Canvas Mortgage, CannaFirst Financial and Voyager Lending will operate as divisions of TownBridge Bank while continuing to serve their respective customer segments.
For customers, the transition is designed to be largely seamless. Existing accounts, routing numbers, checks, cards and digital banking access will remain unchanged.
For the organization, the new structure provides a common identity intended to support growth across multiple markets while maintaining the local leadership and relationships that underpin its community banking strategy.
With existing ownership and leadership remaining in place, TownBridge Bank represents the next stage of Merchants & Marine Bancorp’s evolution as it seeks to combine the resources and capabilities of a growing financial organization with the local focus that has defined its banking brands.
