Following completion of the share acquisition, ITC Infotech also intends to implement a Scheme of Amalgamation under which Happiest Minds will be amalgamated with ITC Infotech. Once the proposed scheme receives all necessary approvals and is completed, shares of ITC Infotech are expected to be listed on the stock exchanges.

The proposed transaction has also received the endorsement of the Board of Directors of ITC Limited, adding further strategic backing to the combination.

These include approvals from the Competition Commission of India, relevant stock exchanges and the National Company Law Tribunal, among other applicable requirements.

The companies expect the transaction process to be completed within approximately 15 months, subject to the satisfaction of the necessary conditions and receipt of the required approvals.

Until the transaction receives all necessary approvals and is completed, ITC Infotech and Happiest Minds will continue to operate independently.

The listing of ITC Infotech shares on the stock exchanges is expected to take place after the completion of the proposed scheme and receipt of all required approvals.
