Birch Hill Secures $4 Million Seed Funding Led by Multicoin Capital to Bring U.S. Credit Onchain

Birch Hill Raises $4 Million Seed Round Led by Multicoin Capital to Bring U.S. Credit Onchain

Birch Hill Holdings, a New York-based financial services firm focused on assessing, structuring and distributing credit through public blockchain networks, has announced a $4 million seed funding round led by Multicoin Capital. The financing also includes participation from ParaFi Capital, Castle Island Ventures and Nascent, bringing the company’s total funding to $6.5 million.

The company plans to use the new capital to advance its mission of creating a regulated pathway for onchain credit and structured financial products. Its strategy centers on connecting traditional credit markets with blockchain-based financial infrastructure, enabling loan originators to access new sources of capital while providing onchain lenders with opportunities to participate in structured credit investments.

Birch Hill aims to address inefficiencies in conventional private credit markets by combining credit assessment, product structuring, distribution and ongoing risk management within a single organization. The firm believes that blockchain technology and smart contracts can improve the administration and transfer of eligible digital assets, potentially reducing costs and operational friction associated with traditional credit transactions.

The funding comes as financial institutions and digital asset companies explore ways to bring traditional financial assets onto blockchain networks. Tokenized credit products have attracted attention as a potential means of connecting established lending markets with stablecoin capital and other blockchain-based liquidity sources. However, regulatory requirements, credit risk, investor protections and market infrastructure remain important considerations for the sector.

Birch Hill Expands Its Onchain Credit Business

Birch Hill operates through three primary divisions: Vaults, Strategies and Enterprise. Each division addresses a different stage of the credit investment process, from evaluating lending opportunities and managing risk to developing investment products and distributing private credit offerings.

Through this structure, the company intends to build a platform that connects loan originators, institutional capital providers and eligible investors. Its approach seeks to bring multiple elements of the credit lifecycle under one organization rather than relying entirely on separate service providers for assessment, structuring, distribution and administration.

The Vaults division focuses on evaluating credit opportunities and establishing risk parameters for onchain lending markets. Birch Hill is an official curator on Morpho, an onchain lending protocol, where it assesses credit and helps determine the parameters governing its vaults and markets.

Credit curation is an important function in decentralized lending because investors and liquidity providers need mechanisms to evaluate the risks associated with lending capital. The selection of eligible assets, the setting of lending parameters and the monitoring of market conditions can influence how a lending market performs during periods of volatility or borrower stress.

Birch Hill’s participation in Morpho allows it to apply its credit assessment approach within an existing onchain lending environment. The company aims to provide a structured approach to risk management while helping connect capital with lending opportunities.

The Strategies division focuses on creating new onchain credit products, including the firm’s Flagship Vaults and Birch Hill Absolute Value, an onchain credit strategy. These offerings are intended to expand the range of credit-related investment opportunities available through blockchain infrastructure.

The Enterprise division is designed to support the distribution of private credit offerings through a proprietary platform. Birch Hill has applied for broker-dealer membership with the Financial Industry Regulatory Authority (FINRA). Subject to approval and any other applicable requirements, the company plans to place private credit offerings with verified accredited investors.

Together, the three divisions form the foundation of Birch Hill’s strategy to connect credit origination, investment management, risk assessment and distribution through a coordinated operating model.

Seed Funding to Support Regulated Financial Infrastructure

The $4 million seed round provides Birch Hill with additional capital to develop its technology, expand its credit products and strengthen its regulatory infrastructure.

Multicoin Capital led the financing, with ParaFi Capital, Castle Island Ventures and Nascent also participating. The investment brings Birch Hill’s total financing to $6.5 million since its formation.

The funding is expected to support the company’s efforts to develop regulated pathways for bringing credit products onto public blockchains. Rather than focusing exclusively on the technological aspects of tokenization, Birch Hill is seeking to establish the legal, operational and risk management structures required to connect traditional lending activities with blockchain-based capital.

The company’s approach reflects the view that tokenized credit markets require more than the digital representation of financial assets. They also need clear ownership arrangements, appropriate investor eligibility procedures, reliable credit assessments and mechanisms for managing the risks associated with underlying loans.

For traditional lenders, access to additional funding sources can support lending activity and diversify the channels through which credit is financed. For blockchain-based investors, structured credit offerings may provide access to investments beyond conventional digital asset markets.

Birch Hill intends to serve as an intermediary across these activities, combining its credit expertise with technology designed to facilitate distribution and administration.

The company believes that integrating these functions can help reduce the complexity involved in bringing private credit onto blockchain networks. Its long-term objective is to develop infrastructure that can serve both credit originators seeking capital and investors looking for structured opportunities within a regulated framework.

CEO Bhavin Vaid Emphasizes Credit Access and Regulatory Compliance

Bhavin Vaid, Chief Executive Officer of Birch Hill, said the company is focused on addressing the needs of both loan originators and onchain lenders.

According to Vaid, loan originators require additional sources of capital, while onchain lenders need access to credit opportunities they can evaluate and trust. Birch Hill aims to connect these groups by assessing, structuring and distributing credit through a single firm.

The company believes this integrated approach can reduce some of the costs and administrative friction associated with traditional credit transactions. Conventional private credit deals can involve multiple parties, extensive documentation, negotiation and ongoing administrative requirements. Birch Hill is seeking to use blockchain infrastructure and smart contracts to make eligible asset transfers and related processes more efficient.

Vaid also emphasized the company’s decision to pursue its business within the U.S. regulatory framework from the outset. The firm intends to engage directly with regulators and seek the appropriate licenses for its planned activities.

This focus on regulation is central to Birch Hill’s strategy because institutional investors often operate under strict legal, compliance and risk management requirements. Banks, insurance companies and other fiduciaries may be limited in the types of assets and investment structures they can hold.

Establishing suitable regulatory and operational arrangements could help address some of the barriers that prevent traditional institutions from participating in onchain credit markets. However, regulatory approval, licensing and compliance requirements remain important conditions for the company’s future plans.

Birch Hill’s efforts therefore combine technology development with the establishment of the legal and operational foundations needed to support institutional participation.

Experienced Team Strengthens Credit Strategy and Risk Management

The latest financing supports Birch Hill’s eight-person team, which includes professionals with experience in onchain vault management, risk management and institutional business development.

Three members of the team previously worked at Yearn, an onchain vault management platform. Alex Cornwell, Brad Schlagel and Ian Plosker have joined Birch Hill to help lead the Birch Hill Absolute Value strategy within the Strategies division.

Schlagel, who led development of Yearn v3, has taken on the roles of portfolio manager and head of strategy architecture. His responsibilities include helping shape the investment strategy’s architecture and approach to managing onchain credit opportunities.

Plosker serves as portfolio manager and head of platform engineering. His role combines investment management responsibilities with oversight of the technology infrastructure supporting the firm’s strategy.

Cornwell, who previously served as head of business development at Yearn, has joined as head of capital formation. His responsibilities include supporting efforts to connect the company with capital providers and develop relationships relevant to its investment products.

Jonathan Thomas, who worked with the Yearn team on strategies built using Yearn’s v3 vault standard, now leads vault curation at Birch Hill. His experience is relevant to the company’s work assessing lending opportunities and establishing parameters for onchain vaults.

Traver Normandi has joined as head of business development after working in institutional business development at Gauntlet, a risk management firm serving onchain lending markets.

The appointments bring together experience across investment strategy, vault architecture, engineering, capital formation and institutional relationships. These functions are particularly relevant to Birch Hill’s business model, which requires coordination between credit evaluation, technology, risk management and investor distribution.

As the company expands its offerings, the team’s experience may help it develop processes for evaluating credit, structuring products and supporting the operational requirements of onchain lending.

Regulatory Engagement Remains Central to the Company’s Strategy

Birch Hill views regulatory compliance as an important requirement for achieving institutional scale in onchain credit markets.

Large financial institutions generally operate within established investment mandates and legal structures. Before allocating capital to a new asset class or investment product, these organizations may need to assess its regulatory status, legal enforceability, custody arrangements, liquidity characteristics and associated risks.

For tokenized credit, these considerations extend beyond the technology used to represent or transfer an asset. Investors also need clarity regarding the underlying loan, the rights attached to the investment, the parties responsible for servicing the credit and the procedures available if a borrower fails to meet its obligations.

Birch Hill believes that building appropriate structures from the beginning can help address these concerns and create a more practical pathway for institutions to participate in blockchain-based credit markets.

As part of its regulatory engagement, the company met with the Securities and Exchange Commission’s Crypto Task Force in August 2026. The meeting formed part of its work toward bringing tokenized credit issuance into the United States.

The engagement reflects the firm’s efforts to understand and navigate the regulatory considerations associated with its business model. It does not, by itself, indicate regulatory approval or authorization for all of the company’s planned activities.

Birch Hill has also applied for FINRA broker-dealer membership as part of its Enterprise division’s plans to distribute private credit offerings to verified accredited investors. The company’s ability to carry out those activities will depend on the outcome of the application and compliance with applicable securities laws and other regulatory requirements.

By prioritizing regulatory engagement, Birch Hill aims to build a business that can serve investors operating under more demanding compliance standards while supporting the development of blockchain-based credit products.

Blockchain Technology Could Improve Credit Administration

Birch Hill believes onchain credit could offer advantages over certain traditional private credit arrangements, particularly through clearer rules for transferring eligible digital assets and more efficient administration enabled by smart contracts.

Traditional private credit markets can be fragmented, with transactions frequently relying on relationships among lenders, borrowers, investment managers, administrators and other intermediaries. Managing these arrangements may require extensive documentation, manual processes and coordination among multiple parties.

Blockchain infrastructure can potentially improve parts of this process by recording transactions on shared digital ledgers and automating certain predefined actions through smart contracts. Depending on the structure of a transaction, these tools may support more efficient asset transfers, settlement and administration.

However, blockchain technology does not eliminate the underlying risks associated with lending. Borrower defaults, asset valuation uncertainty, liquidity constraints, legal disputes and operational vulnerabilities can still affect investment outcomes.

Similarly, tokenization does not automatically make a credit investment safer or more liquid. The benefits depend on the quality of the underlying assets, the legal structure of the offering, the design of the smart contracts and the effectiveness of risk management.

Birch Hill’s strategy combines blockchain technology with credit assessment and structured product development. The company believes this combination can help create more transparent and efficient processes while maintaining the safeguards required for regulated financial activities.

The company’s Vaults and Strategies divisions provide the foundation for developing and managing these products, while its planned Enterprise platform is intended to support distribution to eligible investors.

Future Plans Include Tokenized U.S. Loan Pools

Looking ahead, Birch Hill plans to explore the securitization of pools of U.S. loans, with an initial focus on multifamily housing, agriculture and energy.

These sectors represent different areas of the U.S. credit market and may offer opportunities to connect established lending activity with blockchain-based investment infrastructure.

Multifamily loans finance residential properties containing multiple housing units. Such lending can support property acquisition, development or refinancing, depending on the underlying transaction. Agriculture loans help finance activities such as farming operations, equipment, land and other agricultural needs. Energy-related loans can support projects and businesses operating across the energy sector.

Birch Hill’s longer-term objective is to develop structures through which eligible pools of these loans can be represented and held onchain within the U.S. regulatory framework.

Securitization generally involves grouping financial assets and structuring claims on the resulting pool for investors. In a tokenized setting, blockchain technology may be used to represent interests in a properly structured investment vehicle or security, subject to applicable legal requirements.

Such arrangements could provide a mechanism for connecting loan originators with a broader range of capital providers. Nevertheless, each asset class carries its own credit, market, legal and operational risks, and the structure of any future offering will determine its characteristics.

Birch Hill has not indicated that all of these planned products are currently available. Its proposed expansion into loan securitization represents a longer-term objective as the company develops its platform and pursues the regulatory requirements necessary for its business.

Multicoin Capital Sees Opportunity in Private Credit

Shayon Sengupta, General Partner and Co-Head of Venture at Multicoin Capital, said private credit represents a significant opportunity for the development of new financial infrastructure on blockchain networks.

Sengupta highlighted the fragmented and relationship-driven nature of the private credit market, noting that Birch Hill is building a platform designed to connect loan originators with stablecoin capital.

The platform’s proposed approach covers several stages of the credit process, including structuring, distribution and ongoing risk management. Multicoin Capital believes that combining these functions within a single organization could offer advantages compared with arrangements that rely on separate providers for each activity.

Stablecoins are digital assets designed to maintain a relatively stable value, commonly by referencing a currency such as the U.S. dollar. They are used across parts of the digital asset ecosystem for payments, trading and decentralized finance activities.

Connecting stablecoin capital with traditional credit markets could create additional channels through which lending opportunities are financed. However, successful implementation requires suitable legal structures, investor protections, reliable credit underwriting and mechanisms for addressing liquidity and counterparty risks.

Birch Hill’s model seeks to address these requirements by bringing credit expertise and blockchain infrastructure together within a business that intends to operate under the applicable U.S. regulatory framework.

Birch Hill Targets the Convergence of Traditional Credit and Blockchain Finance

Birch Hill’s $4 million seed funding round marks a new stage in its efforts to develop regulated infrastructure for onchain credit. With total financing reaching $6.5 million, the company plans to expand its product capabilities, strengthen its team and continue pursuing the regulatory arrangements needed to support its business model.

Its three divisions—Vaults, Strategies and Enterprise—are designed to connect credit assessment, investment product development and distribution. The company is also building on team experience from Yearn and Gauntlet as it develops its credit strategies and risk management capabilities.

The planned expansion into multifamily, agriculture and energy loan pools reflects Birch Hill’s ambition to bring a wider range of U.S. credit assets onto blockchain infrastructure.

While the potential benefits include more efficient administration and new sources of capital, the company’s progress will depend on regulatory approvals, product development, investor demand and its ability to manage credit and operational risks.

For Birch Hill, the central objective is to establish a credible connection between traditional lending markets and onchain capital. By combining structured credit products, risk assessment, technology and regulatory engagement, the firm aims to build infrastructure that can support the next stage of development in blockchain-based financial services.
